1. Scope and Applicability


These General Terms & Conditions (“GTC”) apply to all quotations, deliveries, services, repairs, and business relationships between:


JFS Electronic Sturtzel + Co AG (SWISS RADAR)

Switzerland

(hereinafter referred to as “JFS”)


and its customers, distributors, business partners, and end users (hereinafter referred to as the “Customer”).


Any deviating or additional terms of the Customer shall only be valid if expressly accepted in writing by JFS.



2. Quotations


  1. All quotations issued by JFS are non-binding unless explicitly stated otherwise.

  2. Quotations are valid for 30 (thirty) calendar days from the date of issue unless otherwise specified in the quotation.

  3. Technical modifications, availability of components, or price adjustments due to supplier changes remain reserved until order confirmation.


3. Conclusion of Contract


  1. A contract becomes legally binding only upon written Order Confirmation issued by JFS.

  2. Orders placed by the Customer are considered binding offers.

  3. Amendments or cancellations require written approval by JFS.


4. Order Confirmation and Delivery Times


  1. Delivery times stated in quotations or order confirmations are indicative and estimated only.

  2. The Customer expressly acknowledges that delivery times may vary due to:

    • production constraints,
    • supply chain disruptions,
    • component availability,
    • logistics or regulatory requirements,
    • force majeure events.

  3. Deviations from estimated delivery times shall not entitle the Customer to cancel orders, claim damages, or impose penalties unless expressly agreed in writing.


5. Prices and Incoterms


  1. All prices are stated EXW (Ex Works) according to Incoterms® (latest version).

  2. Place of delivery: EXW – Rothusstrasse 9, 6331 Hünenberg, Switzerland


  1. Prices exclude:

    • VAT,
    • customs duties,
    • taxes,
    • shipping costs,
    • insurance,
    • installation or commissioning services, unless explicitly stated otherwise.


6. Shipping and Logistics


  1. Shipping and transportation are the responsibility of the Customer.

  2. Upon request, JFS may organize transportation via courier or freight forwarder on behalf of the Customer.

  3. Such organization is performed:

    • at the Customer’s risk and expense,
    • without transfer of liability to JFS.

  4. Import procedures, taxes, customs duties, and any related fees are always the sole responsibility of the Customer.


7. Transport Insurance


  1. Transport insurance is generally the responsibility of the Customer.

  2. For spare parts shipments, transport insurance is automatically included by JFS.

  3. The cost of transport insurance for spare parts amounts to 0.25% of the value of the goods, added to the invoice.


8. Transfer of Risk


Risk transfers from JFS to the Customer upon making the goods available at the EXW delivery location.


This applies regardless of whether shipping is organized by JFS on behalf of the Customer.



9. Inspection and Acceptance


  1. The Customer must inspect goods immediately upon receipt.
  2. Visible defects must be reported in writing within 5 working days.
  3. Hidden defects must be reported immediately after discovery.
  4. Failure to notify within these periods constitutes acceptance of the goods.


10. Warranty


10.1 General Conditions


Warranty covers defects resulting from manufacturing or material faults under normal and intended use.


Warranty excludes:

  • wear and tear,
  • improper installation,
  • misuse,
  • unauthorized modifications,
  • incorrect maintenance,
  • external damage or environmental influences.


Warranty service is limited to repair or replacement at JFS’s discretion.



10.2 End Customers in Switzerland and Bodensee Region (attended directly by JFS)


  • Equipment: 24 months warranty after commissioning.
  • Spare Parts: 12 months warranty after commissioning or invoice date, whichever occurs first.


10.3 Business Partners / Distributors


  • Equipment: 24 months warranty after invoice date.
  • Spare Parts: 12 months warranty after invoice date.


10.4 Warranty Procedure


  1. Warranty claims require prior written authorization from JFS.

  2. Returned goods require an RMA authorization.

  3. Transport costs to JFS are borne by the Customer unless agreed otherwise.


11. Repairs and Service Work


  1. Repair services are invoiced according to applicable service rates unless covered by warranty.

  2. Cost estimates are non-binding unless expressly confirmed as fixed-price.


12. Payment Terms


  1. Payment terms are stated in the quotation or invoice.

  2. Unless otherwise agreed: invoices are payable within 30 days net from invoice date.

  3. Late payments may incur:

    • statutory interest,
    • collection costs,
    • suspension of deliveries.

JFS reserves the right to require advance payment or partial prepayment.



13. Retention of Title


Delivered goods remain the property of JFS until full payment of all outstanding claims has been received. JFS is entitled to register retention of title where legally permitted.



14. Limitation of Liability


To the maximum extent permitted by law:


  1. JFS shall not be liable for indirect or consequential damages, including:

    • loss of profit,
    • downtime,
    • operational interruption,
    • loss of data.

  2. Total liability is limited to the value of the delivered goods concerned.

  3. Mandatory statutory liability remains unaffected.


15. Intellectual Property


All intellectual property rights, including:


  • designs,
  • schematics,
  • firmware,
  • software,
  • documentation,

remain the exclusive property of JFS.


Reproduction or disclosure to third parties requires written consent.



16. Export Control Compliance


The Customer agrees to comply with all applicable export control laws and regulations, including Swiss, EU, and international regulations.


Goods may not be exported or re-exported in violation of applicable laws.



17. Force Majeure


JFS shall not be liable for delays or failure to perform caused by events beyond reasonable control, including but not limited to:


  • natural disasters,
  • war,
  • pandemics,
  • supplier failures,
  • governmental restrictions,
  • transport disruptions.

Delivery timelines shall be extended accordingly.



18. Data Protection


JFS processes personal data in accordance with applicable Swiss data protection laws. Data is processed solely for contractual and business purposes.



19. Severability


If any provision of these GTC is held invalid, the remaining provisions shall remain fully effective.



20. Amendments


JFS reserves the right to amend these GTC at any time. The version valid at the time of contract conclusion shall apply.



21. Governing Law and Jurisdiction


  1. These GTC are governed exclusively by Swiss law, excluding conflict-of-law provisions and the UN Convention on Contracts for the International Sale of Goods (CISG).

  2. Exclusive place of jurisdiction is Zug, Switzerland.


22. Language Version


In case of discrepancies between language versions, the English version shall prevail unless otherwise agreed.
